Cook caramels and water in large saucepan on low heat until caramels are completely melted and sauce is well blended, stirring frequently. Pour over crust.

Cook chocolate and 3 Tbsp. butter in large saucepan on low heat until chocolate is completely melted and sauce is well blended, stirring frequently. Spread over caramel layer on crust. Immediately top with remaining nuts; press gently into chocolate layer with back of spoon.

Refrigerate 1 hour or until caramel and chocolate layers are firm before cutting into bars to serve.
