Makes 18 servings, 1 cup each.
Heat oven to 300°F.
Microwave first 3 ingredients in microwaveable bowl on HIGH 1-1/2 min. or until caramels are completely melted and mixture is well blended, stirring after 1 min.
Combine popcorn and cookies in large bowl. Add caramel sauce; toss to evenly coat popcorn mixture. Add chocolate chips; mix lightly. Spread onto large rimmed baking sheet sprayed with cooking spray.
Bake 20 min., stirring after 10 min. Spread immediately onto large sheet of parchment paper; cool completely. Break into bite-size pieces.
