Heat oven to 400°F.
Line 15x10x1-inch baking pan with foil; spray with cooking spray.
Place 48 crackers, in single layer with edges slightly overlapping, onto bottom of prepared pan. Crush remaining crackers; reserve for later use.
Cook butter and sugar in saucepan on medium-high heat until butter is melted and mixture is well blended, stirring occasionally. Bring to boil; cook 3 min. (Do not stir.)
Pour sugar mixture evenly over crackers on baking sheet; spread to completely cover crackers with sugar mixture.
Bake 5 to 7 min. or until topping is golden brown and bubbly. Remove baking pan from oven. Sprinkle with chocolate chips. Let stand 5 min. or until chocolate chips are softened.
Spread chocolate to evenly cover all crackers; top with reserved cracker crumbs and sprinkles. Cool completely.
Break topped crackers into small pieces to serve.
