Heat oven to 350°F.
Line 13x9-inch pan with foil, with ends of foil extending over sides; spray with cooking spray. Arrange 15 of the cookies on bottom of pan. Set aside.
Prepare brownie batter as directed on package; pour over cookies in pan.
Bake 28 min. Drizzle with caramel sauce; top evenly with remaining cookies. Bake 5 min. or until toothpick inserted in center of brownie comes out with fudgy crumbs. (Do not overbake.) Cool completely.
Use foil handles to transfer brownie from pan to cutting board before cutting brownie into bars to serve.
For easier cutting, refrigerate the cooled brownie 15 min. before cutting into bars. Also for cleaner edges, carefully wipe the knife blade clean with a damp paper towel after each cut.
